1. SERVICE DESCRIPTION

1.1 Overview

Our Service enables you to forward incoming phone calls to a Twilio number or port your existing phone number so that callers interact with an AI system in real time. The Service establishes WebSocket connections between callers, our servers, and AI platforms to generate responses. We may log conversations, store transcriptions, and send SMS messages or emails as part of the Service.

1.2 No Guarantee of Availability

We make commercially reasonable efforts to ensure the Service is available, but we do not guarantee uninterrupted or error-free operation.

2. THIRD-PARTY PROVIDERS

2.1 Twilio

We use Twilio to manage call forwarding, number porting, and SMS messaging. Your call data and messages may be routed and/or stored using Twilio’s infrastructure.

2.2 OpenAI

We integrate with OpenAI to power AI-driven interactions. Portions of call data (such as audio transcriptions) may be transmitted to OpenAI to generate responses.

2.3 DigitalOcean

Our servers are hosted on DigitalOcean. All data—including call logs, transcriptions, recordings, and account information—may be stored and processed on DigitalOcean’s servers.

2.4 Deepgram

We utilize Deepgram for speech-to-text and voice-agent API services. Call audio or transcriptions may be sent to Deepgram to convert speech to text or generate AI-driven agent responses.

2.5 Google

We rely on Google services (e.g., for hosting ancillary APIs, analytics, or data storage). Data may be processed or stored via Google’s infrastructure.

2.6 Disclaimer

We do not own or control these third-party providers and are not responsible for their practices or content. Your use of their services is governed by their respective terms and privacy policies.

3. ELIGIBILITY & ACCOUNT REGISTRATION

3.1 Eligibility

You must be of legal age in your jurisdiction and capable of entering into a binding agreement to use the Service.

3.2 Account Registration

To access certain features, you may need to create an account. Provide accurate, current, and complete information, and safeguard your credentials.

3.3 Unauthorized Access

Notify us immediately at support@dorilabs.com if you suspect any unauthorized use of your account.

4. USER OBLIGATIONS

4.1 Compliance with Laws

You agree to comply with all applicable laws, including call recording, privacy, data protection, and telemarketing regulations. Obtain all necessary consents from callers or third parties.

4.2 Restrictions on Use

You may not use the Service to engage in fraudulent, unlawful, defamatory, or offensive activities; infringe third-party rights; or disrupt the Service’s operation.

4.3 Data Responsibility

You warrant that you have the legal right to provide any data transmitted via the Service and remain responsible for its accuracy and legality.

5. AI CONTENT DISCLAIMER

5.1 Nature of AI-Generated Content

Our Service uses third-party AI (e.g., OpenAI, Deepgram) to generate responses. We make no warranties regarding the accuracy or suitability of AI-generated content.

5.2 No Professional Advice

AI responses do not constitute legal, medical, financial, or other professional advice. Consult qualified professionals before acting on AI-generated information.

5.3 No Liability for AI Responses

To the fullest extent permitted by law, we disclaim any liability arising from your use of AI-generated content. Interactions with such content are at your own risk.

6. FEES, PAYMENT, AND PRICE CHANGES

6.1 Fees

Certain Service features may incur fees (e.g., subscription, per-call, or usage-based charges). All fees will be disclosed before you incur them.

6.2 Payment Terms

You agree to pay all applicable fees per the billing terms in effect when fees are due. Non-payment may result in suspension or termination of the Service. Fees exclude taxes, which you are responsible for.

6.3 Right to Change Prices

We reserve the right to modify pricing at our sole discretion. If we raise prices, we will provide at least 30 days’ notice via email or website notice. Continued use after the effective date constitutes acceptance; otherwise, you may terminate your account per Section 9.

7. PRIVACY AND DATA PROTECTION

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and safeguard personal data.

8. INTELLECTUAL PROPERTY

All rights in the Service—software, designs, and content—are owned by us or our licensors.

8.2 Limited License

Subject to these Terms, you receive a non-exclusive, non-transferable, revocable license to use the Service for internal business or personal purposes.

8.3 Feedback

Any feedback you provide becomes our property, and we may use it without obligation to you.

9. MODIFICATIONS, SUSPENSION, AND TERMINATION

9.4 Effect of Termination

Fees paid are non-refundable (except as required by law). We may delete your data per our retention policies.

10. DISCLAIMERS, LIMITATION OF LIABILITY, AND INDEMNIFICATION

10.1 Disclaimer of Warranties

The Service is provided “AS IS” and “AS AVAILABLE” without warranties. We do not guarantee error-free, uninterrupted, or secure operation.

10.2 Limitation of Liability

To the fullest extent permitted by law, neither we nor our affiliates, officers, employees, agents, or partners shall be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, use, goodwill, or other intangible losses. Our aggregate liability shall not exceed the greater of: (i) the total amounts you paid us in the 12 months preceding the liability event; or (ii) USD 100.

10.3 Indemnification

You agree to indemnify and hold us harmless from any claims, liabilities, losses, or expenses (including attorneys’ fees) arising from your use of the Service, your breach of these Terms, or infringement of third-party rights.

11. GOVERNING LAW AND DISPUTE RESOLUTION
